Terms of Use and Sale

These Terms of Use and Sale (“Terms”) govern your access to and use of the website located at latticemetals.com (the “Site”), operated by Lattice Metals LLC, a Wyoming limited liability company (“Lattice Metals,” “we,” “us,” or “our”). By accessing the Site, creating an account, placing an order, submitting payment, or otherwise using any of our services (collectively, the “Services”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Site or place any order.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY BINDING ARBITRATION PROVISION (SECTION 11), A CLASS ACTION WAIVER, A JURY TRIAL WAIVER, A STATUTE OF LIMITATIONS PROVISION (SECTION 12), AND A LIMITATION OF LIABILITY (SECTION 13). THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SITE OR PLACE ANY ORDER.

ALL SALES OF PRECIOUS METALS ARE FINAL. STABLECOIN PAYMENTS ARE IRREVERSIBLE. THERE ARE NO CHARGEBACKS, REFUNDS FOR BUYER’S REMORSE, OR COOLING-OFF PERIODS. SEE SECTIONS 3 AND 6.

1. Eligibility

Use of the Site and purchase of products is restricted to individuals who: (a) are at least 18 years of age; (b) are legal residents of the United States; (c) have the legal capacity to enter into a binding contract; (d) are not located in, or acting on behalf of any person located in, a jurisdiction subject to U.S. economic sanctions administered by the Office of Foreign Assets Control (OFAC); (e) are not listed on any U.S. government list of prohibited or restricted parties, including the Specially Designated Nationals list maintained by OFAC; and (f) are purchasing products for lawful purposes only.

We reserve the right to refuse service to any person or entity at our sole discretion. By completing a purchase, you represent and warrant that you satisfy all eligibility requirements above. You further represent that you are not purchasing products for purposes of resale in a manner that would require licensure as a dealer, broker-dealer, or money services business under applicable federal or state law.

If you are using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and all references to “you” include both you individually and the entity you represent.

2. Products, Pricing, and Availability

2.1 Product Descriptions

Lattice Metals sells physical precious metals bullion products including gold, silver, platinum, and palladium coins and bars sourced through authorized wholesale distribution channels. Product descriptions, weights, purities, mint years, certifications, and images are provided for informational purposes and are subject to change without notice. Product images are representative and may not depict the exact item shipped. Minor variations in appearance, toning, or surface quality are inherent to bullion products and do not constitute defects.

2.2 Spot-Referenced Dynamic Pricing

All product prices displayed on the Site are dynamic and are calculated by reference to real-time or near-real-time spot market prices for the relevant metal plus a premium that may include dealer margin, fabrication costs, distribution costs, and other applicable charges.

PRICES ARE NOT GUARANTEED AND ARE SUBJECT TO CHANGE AT ANY TIME WITHOUT NOTICE, INCLUDING BETWEEN THE TIME YOU ADD AN ITEM TO YOUR CART AND THE TIME YOUR PAYMENT IS CONFIRMED. THE PRICE DISPLAYED ON THE SITE IS AN INVITATION TO MAKE AN OFFER, NOT A BINDING OFFER OF SALE.

Price lock, if offered, is available only for the specific duration displayed at checkout and is subject to successful payment confirmation within that window. If payment is not confirmed within the price lock window, the order will be repriced at prevailing market rates or cancelled at our sole discretion.

2.3 Pricing Errors and Corrections

We make every effort to ensure accuracy of pricing. However, in the event of a pricing error, whether caused by typographical mistake, software malfunction, data feed error, or any other cause, we reserve the right to cancel, correct, or refuse to fulfill any order placed at an erroneous price, regardless of whether the order has been confirmed. In the event of cancellation due to pricing error, your sole and exclusive remedy is a full refund of any payment received. You agree that you will not attempt to exploit pricing errors, and that any pattern of orders targeting apparent pricing anomalies may result in account suspension and refusal of service.

2.4 Order Acceptance and Rejection

Submission of an order constitutes an offer to purchase and does not constitute acceptance or a binding contract. A binding contract is formed only when we issue written order confirmation via email after successful payment verification. We reserve the right to reject, cancel, or void any order at any time for any reason, including without limitation: pricing errors, inventory unavailability, market disruptions, failure of payment confirmation, suspected fraud, compliance concerns, failure to pass identity verification or sanctions screening, use of anonymization tools to evade our controls, repeated order cancellations or conduct suggesting speculative activity without intent to complete transactions, abusive or threatening conduct toward our personnel, or any other reason in our sole discretion.

In the event of cancellation by us, your remedy is limited to a full refund of confirmed payments received. We shall have no further liability to you, including for any change in metal prices between order placement and cancellation.

2.5 Market Hours and Order Windows

Lattice Metals processes orders during active commodity market trading hours. Orders received outside of active market hours, including during COMEX trading halts, daily settlement windows, weekends, or U.S. federal holidays, may be held pending market reopening and will be priced at prevailing market rates at the time of order execution, which may differ materially from the rate displayed at submission. We will notify you if we are unable to fulfill an order at the submitted price. You acknowledge that precious metals markets are volatile and that material price changes can and do occur during periods when markets are closed.

2.6 Availability and Substitution

All products are offered subject to availability. We make no guarantee that any product will be in stock at the time of your order. In the event of unavailability following confirmed payment, we will contact you to arrange: (a) a substitute product of comparable metal content, weight, and value, subject to your approval; or (b) a full refund of confirmed payments received. If you do not respond to our substitution inquiry within five (5) business days, we may issue a full refund and cancel the order.

2.7 Order Quantity Limits

We reserve the right to limit order quantities, maximum order values, and frequency of orders at our sole discretion. Limits may be imposed on a per-order, per-day, per-customer, or per-household basis without prior notice. These limits may be adjusted based on market conditions, inventory availability, compliance requirements, or risk assessment.

3. Payment Terms

3.1 Accepted Payment Methods

Lattice Metals accepts payment exclusively in USD Coin (USDC) and PayPal USD (PYUSD), both of which are USD-pegged stablecoins operating on supported blockchain networks. We do not currently accept credit cards, debit cards, wire transfers, ACH, checks, money orders, cash, or other cryptocurrencies. Accepted blockchain networks for each stablecoin will be specified at checkout. Payments sent on unsupported networks will not be credited and may result in permanent loss of funds.

3.2 Payment Address and Instructions

A unique, single-use deposit address will be generated for each order at checkout. You are solely responsible for: (a) sending payment to the exact address specified; (b) sending payment on the correct blockchain network; (c) sending the exact amount specified in the correct stablecoin; and (d) verifying the receiving address and network before initiating transfer. Lattice Metals bears no responsibility for funds sent to an incorrect address, sent on an unsupported network, sent in an incorrect amount, or sent in an unsupported token. Errors in any of these may result in permanent, unrecoverable loss of funds for which we bear no liability.

3.3 Blockchain Finality and Confirmation

Stablecoin payments are subject to blockchain confirmation requirements. A payment is not considered received until the required number of network confirmations has been achieved as determined by us in our sole discretion. Unconfirmed or pending transactions do not constitute payment and do not lock your order price. We are not responsible for delays caused by network congestion, gas fees, smart contract failures, bridge failures, or other blockchain-level factors. If your transaction fails to achieve finality within a reasonable period as determined by us, your order may be cancelled.

3.4 Payment Irreversibility and No Chargebacks

Blockchain transactions are irreversible by design. Once a stablecoin transfer is broadcast to the network, it cannot be reversed, recalled, or charged back by any party, including the sender, the recipient, the stablecoin issuer, or any intermediary. You acknowledge and accept this fundamental characteristic of blockchain-based payments.

YOU EXPRESSLY ACKNOWLEDGE THAT STABLECOIN PAYMENTS ARE FINAL AND IRREVERSIBLE. TRADITIONAL CHARGEBACK MECHANISMS DO NOT APPLY. BY SUBMITTING PAYMENT, YOU WAIVE ANY RIGHT TO REVERSE, RECALL, OR DISPUTE THE PAYMENT THROUGH ANY THIRD PARTY, INCLUDING YOUR WALLET PROVIDER OR THE STABLECOIN ISSUER. DISPUTES MUST BE RESOLVED EXCLUSIVELY THROUGH OUR DISPUTE RESOLUTION PROCESS DESCRIBED IN SECTION 11.

3.5 Overpayments and Underpayments

If you send more than the required payment amount, we will refund the overpayment to the originating wallet address, less any applicable blockchain gas fees incurred in processing the refund. If you send less than the required payment amount, we will contact you to arrange the balance. If the balance is not received within twenty-four (24) hours, we reserve the right to cancel the order and refund the underpayment to the originating wallet address, less applicable gas fees.

3.6 Taxes

You are solely responsible for determining and remitting any applicable federal, state, or local taxes arising from your purchase, including but not limited to sales tax, use tax, and capital gains tax. Lattice Metals will collect and remit sales tax only as required by applicable law in states where we have established nexus. We make no representation regarding the tax treatment of precious metals purchases in your jurisdiction. The tax treatment of precious metals varies by state and by product type, and you should consult a qualified tax professional for guidance specific to your situation.

3.7 No Speculation

Lattice Metals is a retailer of physical precious metals bullion. The Services are not a vehicle for price speculation. Customers who place orders with no intent to complete payment, who engage in patterns of rapid ordering and cancellation timed to market movements, or who otherwise use the Services as a substitute for commodity trading are in violation of these Terms. We reserve the right to refuse service, cancel orders, and suspend accounts of customers engaged in speculative conduct.

4. Shipping and Delivery

4.1 Fulfillment

Orders are fulfilled through authorized third-party wholesale distribution partners (“Fulfillment Partners”). Lattice Metals does not maintain physical inventory and does not ship products directly. We act as a disclosed agent for purposes of arranging the sale and delivery of bullion products. While we select Fulfillment Partners with care, we do not manufacture, refine, assay, or independently verify products after they leave the mint or refiner of origin.

4.2 Title and Risk of Loss

Title to and risk of loss of products passes to you upon delivery of the products to the carrier designated by our Fulfillment Partner. This means that once the carrier accepts the package, you bear the risk of loss, theft, damage, or destruction during transit, subject to available insurance coverage as described below. We strongly recommend that you or an authorized recipient be available at the delivery address to accept the shipment in person.

4.3 Insurance and Tracking

All shipments are fully insured in transit at declared value and include tracking. You will receive tracking information upon shipment via email. Insurance coverage is provided by the carrier or a third-party insurer and is subject to the terms and conditions of the applicable insurance policy. Lattice Metals will assist you in filing insurance claims for shipments lost or damaged in transit, but we are not the insurer and do not guarantee the outcome of any claim.

4.4 Signature Requirement and Delivery

All shipments of precious metals require an adult signature upon delivery. By placing an order, you consent to this requirement and agree to make arrangements to be present (or to have an authorized recipient present) at the delivery address. If no authorized signature is obtained, the carrier will attempt redelivery or return the package. Responsibility for unclaimed or undeliverable packages, including any re-shipping costs, rests with the purchaser after three (3) delivery attempts by the carrier.

You are responsible for providing a valid, accurate, and deliverable shipping address. We are not liable for delays, losses, or non-delivery resulting from incorrect or incomplete address information. We do not ship to P.O. boxes, freight forwarding services, or addresses outside the United States.

4.5 Delivery Estimates

Delivery timelines provided at checkout are estimates only and are not guaranteed. Lattice Metals is not liable for delays arising from carrier operations, customs holds, weather events, acts of God, civil disturbances, government actions, pandemic, labor disputes, or any cause outside our reasonable control. Delayed delivery does not constitute grounds for order cancellation after payment has been confirmed.

4.6 Inspection Upon Receipt

You are responsible for inspecting all products immediately upon receipt. If the outer packaging appears damaged, tampered with, or re-sealed, you must note this on the carrier’s delivery receipt before signing. Failure to note visible damage at the time of delivery may affect your ability to make a successful insurance claim. Claims for missing or incorrect items must be reported within five (5) business days of delivery confirmation.

4.7 Porch Piracy and Theft After Delivery

Once a package has been delivered and signed for by you or an authorized recipient at your delivery address, Lattice Metals bears no responsibility for subsequent theft, loss, or damage. The signature requirement exists to protect both parties. If you believe your package was stolen after confirmed delivery, you should file a police report and contact the carrier directly. We will cooperate with law enforcement investigations to the extent required by law, but we are not liable for losses occurring after confirmed delivery.

5. Account Creation and Security

You may browse the Site as a guest, but you must create an account to place an order. To create an account, you must meet the eligibility requirements in Section 1. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. Providing false, misleading, or fraudulent identity or payment information is a violation of these Terms and may be reported to law enforcement.

You are solely responsible for maintaining the confidentiality of your account credentials, including any passwords, wallet addresses, or authentication tokens associated with your account. You are responsible for all activity that occurs under your account, whether authorized by you or not. You agree to notify us immediately at hello@latticemetals.com of any unauthorized use of your account or any other security breach.

We reserve the right, in our sole discretion, to suspend, restrict, or terminate any account at any time, with or without prior notice, for any reason, including suspected fraud, violation of these Terms, failure to provide requested identity verification, or any other compliance concern. Suspension or termination of your account does not relieve you of any obligations arising under these Terms from transactions initiated prior to suspension or termination.

6. Returns, Cancellations, and Refunds

6.1 All Sales Final

DUE TO THE COMMODITY NATURE OF PRECIOUS METALS AND CONTINUOUS SPOT MARKET PRICE FLUCTUATION, ALL SALES ARE FINAL. THERE IS NO COOLING-OFF PERIOD, NO RIGHT OF RETURN FOR BUYER’S REMORSE, AND NO RIGHT TO CANCEL AFTER PAYMENT HAS BEEN CONFIRMED ON THE BLOCKCHAIN. BY SUBMITTING PAYMENT, YOU ACKNOWLEDGE THAT YOU ARE MAKING A BINDING PURCHASE OF A COMMODITY WHOSE VALUE FLUCTUATES CONTINUOUSLY.

6.2 Cancellations

Orders may be cancelled only prior to payment confirmation on the blockchain. Once your stablecoin payment has achieved the required number of network confirmations, the order is final and cancellation is not available, as we will have initiated the order with our Fulfillment Partner against live spot market pricing. Pre-confirmation cancellation requests must be submitted to hello@latticemetals.com.

6.3 Limited Exceptions for Returns

We accept returns only in the following limited circumstances: (a) you received a product that does not match the description on your order confirmation (wrong product type, wrong metal, wrong weight); (b) you received a product that is demonstrably counterfeit or materially defective in a manner not attributable to normal manufacturing variation; or (c) your product was lost or damaged in transit and a valid insurance claim has been approved.

Return requests must be submitted to hello@latticemetals.com within five (5) business days of delivery confirmation, accompanied by photographs of the product and packaging. Products must be returned in original, unopened, tamper-evident packaging. We reserve the right to inspect returned products and to require independent third-party assay or authentication at our expense before approving a return. We may deny any claim that does not meet the criteria set forth in this Section.

6.4 Refund Processing

Approved refunds will be issued in USDC or PYUSD (matching the original payment method) to the originating wallet address. Refunds will be processed within five (5) business days of return approval. You acknowledge and agree that refund amounts may not equal the original payment amount due to: (a) blockchain gas fees incurred in processing the refund; and (b) any difference in the value of the precious metal between the date of purchase and the date of refund. We are not responsible for fluctuations in the USD peg of USDC or PYUSD between payment and refund.

6.5 Counterfeit Product Guarantee

All products sold by Lattice Metals are sourced from authorized wholesale distribution channels and are guaranteed to be authentic. If any product sold by us is determined by a qualified, independent third-party assay to be counterfeit, we will provide a full refund of the purchase price plus reimburse you for the reasonable cost of the independent assay, provided that: (a) you notify us in writing within thirty (30) days of delivery; (b) you provide the third-party assay report; and (c) you return the product to us for our own independent verification. This guarantee survives the general “all sales final” policy stated above.

7. Anti-Money Laundering, Identity Verification, and Compliance

7.1 AML Program

Lattice Metals is committed to compliance with all applicable anti-money laundering (“AML”) laws and regulations, including the Bank Secrecy Act, applicable FinCEN guidance, and relevant state-level requirements. We maintain a written AML compliance program and designate a Compliance Officer responsible for its implementation, monitoring, and oversight.

7.2 Identity Verification (KYC)

We reserve the right to require identity verification at any time, including at account creation, at order placement, prior to shipment, upon detection of suspicious activity, or upon request by law enforcement or regulatory authorities. Identity verification may require you to provide government-issued photo identification, proof of address, source of funds documentation, and other information as we deem necessary. You agree to provide accurate, current, and complete identity information upon request.

Failure or refusal to comply with identity verification requests may result in order cancellation, account suspension, refund withholding (pending resolution), and reporting to applicable authorities as required by law. We may use third-party identity verification services and you consent to the sharing of your information with such services for verification purposes.

7.3 Transaction Monitoring and Reporting

We monitor transactions for suspicious activity, including but not limited to: structuring (breaking transactions into smaller amounts to avoid reporting thresholds), rapid successive orders, orders from high-risk jurisdictions, unusual transaction patterns, and transactions involving wallets associated with known illicit activity. We are required by law to file Currency Transaction Reports (CTRs) for transactions involving currency or currency equivalents in excess of $10,000 and Suspicious Activity Reports (SARs) for transactions that exhibit indicators of money laundering, terrorist financing, structuring, or other illicit activity, regardless of dollar amount. Federal law prohibits us from disclosing to you whether a SAR has been filed regarding your account or transactions.

7.4 OFAC and Sanctions Compliance

We screen all orders, customers, and wallet addresses against OFAC sanctions lists, including the Specially Designated Nationals (SDN) list, the Sectoral Sanctions Identifications (SSI) list, and other applicable sanctions and embargo programs. We may also screen wallet addresses against blockchain analytics databases for known association with sanctioned entities, darknet markets, ransomware, or other illicit activity. Orders from, or for the benefit of, individuals or entities on applicable sanctions lists, or involving wallet addresses flagged for illicit activity, will be blocked, and we reserve the right to report such activity to OFAC, FinCEN, and other law enforcement authorities.

7.5 Recordkeeping

We maintain transaction records, identity verification records, and related compliance documentation for a minimum of five (5) years as required by applicable law. By making a purchase, you consent to the collection and retention of transactional and personal data as described in our Privacy Policy and as required by law.

7.6 Cooperation with Law Enforcement

We will comply with all lawful requests for information from federal, state, and local law enforcement and regulatory authorities, including subpoenas, court orders, and regulatory inquiries. We may be required by law to freeze or hold funds, delay shipments, or take other actions in response to law enforcement requests. We will not be liable to you for any delay, loss, or inconvenience resulting from our compliance with lawful government requests.

8. No Investment Advice; Market Risk Disclosure

NOTHING ON THE SITE CONSTITUTES INVESTMENT ADVICE, FINANCIAL ADVICE, TAX ADVICE, OR A SOLICITATION OR RECOMMENDATION TO BUY, SELL, OR HOLD ANY FINANCIAL INSTRUMENT, COMMODITY, OR INVESTMENT.

Precious metals are commodities subject to significant and unpredictable price volatility. Past price performance is not indicative of future results. You may receive substantially less than you paid for bullion if you sell at a later date. The value of precious metals can go to zero.

Lattice Metals is a retailer of physical bullion. We are not a registered investment adviser, broker-dealer, commodity trading adviser, commodity pool operator, futures commission merchant, or any other regulated financial professional under federal or state law. No communication from us, whether on the Site, via email, or otherwise, should be construed as investment advice, tax advice, or a recommendation to engage in any transaction.

You acknowledge that purchasing precious metals involves substantial risk, including the risk of total loss of your investment, and that you are making all purchasing decisions based solely on your own independent judgment. You are not relying on us for investment guidance and you release us from any claim arising from your reliance on any market data, pricing information, or educational content provided on the Site.

Any market data, spot prices, historical charts, or price alerts provided through the Services are for informational purposes only, are derived from third-party sources, and are not guaranteed to be accurate, complete, or timely. We disclaim all liability for errors or omissions in market data.

9. Prohibited Conduct

You agree that you will not: (a) use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law; (b) attempt to purchase bullion products for resale in a manner that would require licensure as a dealer, broker-dealer, or money services business without proper licensure; (c) engage in structuring transactions to avoid reporting thresholds, or assist or encourage others to do so; (d) provide false, misleading, or fraudulent identity, address, or payment information; (e) use automated bots, scrapers, crawlers, or any automated means to access, extract data from, or interact with the Site without our prior written authorization; (f) attempt to reverse engineer, decompile, modify, or compromise the Site or its underlying systems, APIs, or infrastructure; (g) engage in any activity that disrupts or interferes with the integrity, performance, or security of the Site; (h) resell products purchased from us to a prohibited person or entity; (i) use anonymization tools, VPNs, or other methods to evade our identity verification, geolocation, or compliance controls; (j) engage in abusive, threatening, or harassing conduct toward our personnel; (k) place orders without intent to complete payment or engage in speculative ordering patterns; (l) attempt to exploit pricing errors, timing vulnerabilities, or technical malfunctions; (m) use any of the content of the Services in connection with developing or training any technology that uses artificial intelligence, machine learning, or a large language model without our prior written consent; or (n) engage in any conduct that, in our sole judgment, may expose Lattice Metals to legal liability, regulatory action, or reputational harm.

10. Intellectual Property

All content on the Site, including text, graphics, logos, product images, design elements, software, and the overall look and feel of the Site (collectively, “Content”), is the property of Lattice Metals LLC or its licensors and is protected by applicable intellectual property laws, including copyright, trademark, trade dress, and patent laws. The Lattice Metals name, logo, B5 mark, and all related marks, taglines, and trade dress are trademarks of Lattice Metals LLC. Nothing in these Terms grants you any right or license to use our intellectual property without our prior written consent.

You may view and print pages from the Site for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works of, publicly display, republish, download, store, or transmit any Content except as expressly permitted. Systematic downloading, scraping, or extraction of Content is prohibited.

11. Dispute Resolution

11.1 Informal Resolution

Before initiating any formal proceeding, you agree to contact us at hello@latticemetals.com describing the nature of your dispute and your proposed resolution. We will attempt to resolve the dispute informally within fifteen (15) business days of receipt. You agree to participate in good faith in this informal resolution process before filing any arbitration demand.

11.2 Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, the Services, your purchase of products, or any aspect of the relationship between you and Lattice Metals (collectively, “Disputes”), excluding claims for injunctive or other equitable relief and claims within the jurisdiction of a small claims court, shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in English, and the seat of arbitration shall be Cheyenne, Wyoming.

The arbitrator shall apply Wyoming substantive law consistent with the Federal Arbitration Act and applicable statutes of limitations. The arbitrator shall have exclusive authority to resolve any dispute relating to the interpretation, applicability, enforceability, or formation of these Terms, including any claim that all or any part of these Terms is void or voidable. The arbitrator’s decision shall be final and binding. Judgment on the arbitrator’s award may be entered in any court having jurisdiction.

11.3 Jury Trial and Class Action Waiver

YOU AND LATTICE METALS EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU AND LATTICE METALS EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. IF THIS CLASS ACTION WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION PROVISION SHALL BE NULL AND VOID.

11.4 Arbitration Opt-Out

You may opt out of the arbitration provision by sending written notice to hello@latticemetals.com within thirty (30) days of your first use of the Services or your first purchase, whichever comes first. Your opt-out notice must include your full legal name, email address, mailing address, and a clear statement that you wish to opt out of binding arbitration. If you opt out, Disputes will be governed by Section 11.5 below.

11.5 Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. For any claim not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Laramie County, Wyoming, and you waive any objection to jurisdiction or venue in such courts.

11.6 Equitable Relief

Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief in any court of competent jurisdiction for the protection of intellectual property rights, confidential information, or to prevent irreparable harm, without first engaging in the informal dispute resolution or arbitration process described above.

12. Statute of Limitations

You agree that, regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to these Terms, the Site, the Services, or any transaction must be filed within one (1) year and one (1) day after such claim or cause of action arises, or it shall be forever barred. This limitations period applies to all claims, whether sounding in contract, tort, statute, or otherwise. The limitations period set forth herein shall not be shortened by any applicable statute that provides for a shorter period.

13. Disclaimers and Limitation of Liability

13.1 Disclaimer of Warranties

THE SITE, THE SERVICES, AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, OR UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THE ACCURACY, TIMELINESS, OR COMPLETENESS OF SPOT PRICE DATA, PRODUCT INFORMATION, OR ANY OTHER CONTENT DISPLAYED ON THE SITE. WE DO NOT WARRANT THAT THE SITE WILL BE SECURE, FREE OF VIRUSES, OR FREE OF ERRORS.

We hereby expressly disclaim all liability for product defect or failure claims that are due to normal manufacturing variation, product misuse, improper storage, or damage occurring after delivery. Some jurisdictions do not allow the disclaimer of implied warranties. In such jurisdictions, the foregoing disclaimers may not apply to you to the extent prohibited by applicable law.

13.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LATTICE METALS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, FULFILLMENT PARTNERS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, COST OF SUBSTITUTE GOODS OR SERVICES, DIMINUTION IN VALUE, LOSS OF USE, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE, THE SERVICES, OR THE PURCHASE OF PRODUCTS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, PRODUCT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS, THE SITE, THE SERVICES, OR ANY TRANSACTION SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED DOLLARS ($100.00) OR (B) THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

The laws of certain jurisdictions do not allow limitations on implied warranties, or the exclusion or limitation of incidental or consequential damages. If such laws apply, certain of the above disclaimers, exclusions, or limitations may not apply to you, and you may have certain additional rights.

13.3 Specific Exclusions of Liability

Without limiting the generality of the foregoing, Lattice Metals shall not be liable for: (a) losses arising from changes in the spot price of precious metals after purchase; (b) losses arising from your failure to follow payment instructions, including sending funds to the wrong address, on the wrong network, or in the wrong amount; (c) losses arising from blockchain network failures, congestion, or other events outside our control; (d) losses arising from unauthorized access to your account due to your failure to safeguard your credentials; (e) losses arising from force majeure events as described in Section 16; (f) losses arising from the acts or omissions of third-party Fulfillment Partners, carriers, or blockchain network operators; (g) losses arising from regulatory actions, sanctions enforcement, or law enforcement requests affecting your account or orders; or (h) any tax liability, penalty, or interest arising from your purchase of precious metals.

13.4 Indemnification

You agree to indemnify, defend, and hold harmless Lattice Metals LLC and its members, managers, officers, employees, agents, Fulfillment Partners, and successors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or related to: (a) your breach of these Terms; (b) your use of the Site or Services; (c) your purchase of products; (d) your violation of any applicable law, regulation, or third-party right; (e) your provision of false, misleading, or fraudulent information; (f) any dispute between you and a third party relating to your use of the Services; or (g) your negligent or wrongful acts or omissions. This indemnification obligation survives termination of your account and these Terms.

14. Privacy

Our collection, use, and disclosure of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Site, you consent to our data practices as described in the Privacy Policy. Certain information collected in connection with your transactions may be required to be disclosed to law enforcement or regulatory authorities pursuant to applicable law, including without limitation BSA and AML reporting obligations. In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall prevail with respect to matters related to the collection, use, and disclosure of personal information.

15. Consent to Electronic Communications

By using the Services or submitting your email address, you consent to receive electronic communications from us, including order confirmations, shipping notifications, account alerts, policy updates, and other transactional messages. You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You may withdraw your consent to receive promotional communications at any time by following the unsubscribe instructions in any email, but you may not opt out of transactional communications related to your orders or account while your account is active.

16. Force Majeure

Lattice Metals shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including without limitation: acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions, sanctions, embargoes, exchange closures, COMEX trading halts, blockchain network failures or congestion, stablecoin de-peg events, smart contract failures, acts or omissions of third-party Fulfillment Partners or carriers, disruptions in telecommunications or internet infrastructure, cyberattacks, power outages, labor disputes, or any other cause beyond our reasonable control. We will use commercially reasonable efforts to resume performance as soon as practicable following a force majeure event.

17. Third-Party Links and Services

The Site may contain links to third-party websites or services, including blockchain networks, wallet providers, stablecoin issuers, block explorers, and payment infrastructure providers. These links are provided for convenience only. Lattice Metals has no control over and assumes no responsibility for the content, privacy practices, security, availability, or terms of any third-party site or service. Your use of third-party services is governed by those parties’ terms and you access them at your own risk. We do not endorse any third-party service and we are not liable for any loss or damage arising from your use of or reliance on any third-party service.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on the Site with a revised “Last Updated” date. For material changes, we will provide notice via email to the address associated with your account at least fifteen (15) days before the changes take effect. Your continued use of the Site or submission of any order following the effective date of modified Terms constitutes your acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease using the Site and close your account. Changes to pricing, product availability, or operational policies (such as shipping carriers or market hours) are not considered material changes and may be made without advance notice.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any order confirmation issued by us, constitute the entire agreement between you and Lattice Metals with respect to your use of the Site, the Services, and your purchase of products, and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

19.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the parties.

19.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Lattice Metals to be effective.

19.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely, including in connection with a merger, acquisition, sale of assets, or by by operation of law, without notice to you. Subject to the foregoing, these Terms bind and inure to the benefit of the parties and their respective successors and permitted assigns.

19.5 No Third-Party Beneficiaries

These Terms are for the benefit of the parties hereto and are not intended to confer any rights or remedies on any third party, except as expressly stated herein.

19.6 Survival

The following provisions survive termination or expiration of these Terms: Sections 3.4 (Payment Irreversibility), 6 (Returns, Cancellations, and Refunds), 7 (AML, KYC, and Compliance), 8 (No Investment Advice), 10 (Intellectual Property), 11 (Dispute Resolution), 12 (Statute of Limitations), 13 (Disclaimers and Limitation of Liability), 14 (Privacy), and 19 (General Provisions).

Section headings are for convenience only and do not affect the interpretation of these Terms.
